Terms of Use — BRI Accountants, LLC (Bookkeeping Re-Imagined)

1. Agreement to Terms

These Terms of Use ("Agreement") govern your access to and use of the website located at bookkeeping-reimagined.com (the "Site"), operated by BRI Accountants, LLC ("BRI," "we," "us," or "our"), a Florida limited liability company, and any related client portal, document exchange, or e-signature features made available through the Site (collectively, the "Services").

By accessing or using the Site, creating an account, or using our client portal, you agree to be bound by this Agreement. If you are accessing the Site on behalf of a business or other entity, you represent that you have authority to bind that entity, and "you" refers to both you and that entity. If you do not agree to these terms, do not use the Site or Services.

You must be at least 18 years old to create an account or use the client portal.


2. Not a Substitute for Professional Advice on Its Own

Content on the Site — including articles, calculators, FAQs, blog posts, and any AI-assisted or automated features described in Section 8 — is provided for general informational purposes only. It does not constitute individualized tax, accounting, financial, or legal advice, and no accountant-client relationship is formed by merely browsing the Site. An engagement with BRI, and the professional advice that comes with it, exists only under a signed engagement letter or written agreement between you and BRI. You should not act or refrain from acting based on general Site content without first consulting your assigned professional at BRI or another qualified advisor.


3. The Client Portal

Where we provide a secure client portal for document exchange, e-signature, messaging, or review of your tax and financial information, the following additional terms apply:

Account security. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at 239-206-4445 if you suspect unauthorized access.

Accuracy of submissions. You agree that documents, figures, and information you upload or enter are accurate and complete to the best of your knowledge. BRI relies on the information you provide in preparing any work product.

E-signatures. Signatures executed through the portal are intended to be legally binding to the same extent as a handwritten signature, consistent with applicable electronic signature law (including Florida's adoption of UETA/E-SIGN principles). You consent to conduct transactions with us electronically.

Third-party portal provider. The portal may be hosted or supported by a third-party practice management platform. Your use of that platform's underlying software is also subject to that provider's own terms and privacy practices, which we encourage you to review.

Availability. The portal may occasionally be unavailable due to maintenance, upgrades, or circumstances outside our control. We are not liable for delays in service caused by such downtime, though we will make reasonable efforts to notify you of planned outages.


4. Confidentiality and Your Information

We understand the sensitivity of the tax, financial, and personal information you share with us. We handle such information consistent with our Privacy Policy and applicable professional confidentiality obligations, including IRC § 7216 restrictions on the use and disclosure of tax return information. We will not disclose your confidential information except as necessary to perform the engaged services, as authorized by you in writing, or as required by law.

You agree to keep confidential any non-public information you receive through the portal that relates to our internal processes, pricing, or proprietary tools, and to use the Site and portal only for your own tax and accounting matters.


5. Acceptable Use

You agree not to:

  • Use the Site or portal for any unlawful purpose or in violation of this Agreement;
  • Attempt to access another client's account, documents, or data;
  • Use bots, scrapers, or automated tools to access or copy Site content without our written permission;
  • Upload viruses, malware, or other harmful code;
  • Impersonate any person or misrepresent your affiliation with any person or entity;
  • Interfere with the security or proper functioning of the Site or portal.

Violation of this section may result in suspension or termination of your account and access to the Services.


6. Intellectual Property

All content on the Site — including text, graphics, logos, forms, templates, and the compilation thereof — is owned by BRI Accountants, LLC or its licensors and is protected by applicable copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to view and use Site content for your own personal or internal business purposes in connection with our Services. You may not reproduce, distribute, modify, or create derivative works from Site content, or use our name, logo, or trademarks without our prior written consent.

Work product we prepare for you under a separate engagement letter (such as tax returns or financial statements) is governed by the terms of that engagement letter, not this Agreement.


7. Third-Party Links and Tools

The Site may link to or integrate with third-party websites, payment processors, or software (for example, a client portal or payment platform). We do not control and are not responsible for the content, security, or practices of third-party sites or tools. Your use of any linked third-party service is at your own risk and subject to that provider's own terms.


8. Artificial Intelligence and Automated Features

We may use AI-assisted or automated tools on the Site or portal to help answer general questions, organize documents, or streamline communication. These tools are provided for convenience only, may not always be accurate or complete, and do not constitute professional advice. Do not submit sensitive information you are not comfortable having processed by an automated tool. Any output from such tools should be reviewed by a qualified professional at BRI before you rely on it, and BRI retains full responsibility for the professional advice ultimately delivered to you under an engagement.


9. Fees and Payments

If the Site or portal allows you to pay invoices or engagement fees online, payments are processed through a third-party payment processor. By submitting payment, you authorize the charge to your selected payment method. Fees for professional services are governed by your engagement letter, not by this Agreement.


10. Disclaimers

The Site and Services are provided "as is" and "as available." To the fullest extent permitted by law, BRI disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site or portal will be uninterrupted, secure, or error-free.


11. Limitation of Liability

To the fullest extent permitted by law, BRI Accountants, LLC and its members, employees, and agents shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Site or portal. Nothing in this Agreement limits liability for professional services rendered under a separate signed engagement letter, which is governed by the terms of that letter.


12. Termination

We may suspend or terminate your access to the Site or portal at any time, with or without cause, including for violation of this Agreement. Upon termination, your right to use the Site and portal ends, though obligations relating to confidentiality, intellectual property, and any active engagement letter survive.


13. Changes to This Agreement

We may update this Agreement from time to time by posting a revised version on the Site with an updated effective date. Continued use of the Site or portal after changes take effect constitutes acceptance of the revised terms.


14. Governing Law

This Agreement is governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising from this Agreement shall be resolved in a state or federal court located in Alachua County, Florida.
